Welcome to Skillsi.

These Terms and Conditions ("Terms") govern your access to and use of the Skillsi platform, including our mobile applications, website, and all related services (collectively referred to as the "Platform").

Skillsi is a global online learning marketplace that connects learners with verified tutors and educational content across a wide range of disciplines, including but not limited to business, technology, artificial intelligence, education, beauty, health, marketing, personal development, and vocational skills.

By creating an account, accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable policies referenced herein. If you do not agree with these Terms, you should not use the Platform.

These Terms constitute a legally binding agreement between you and Skillsi.

2. Definitions

For the purposes of these Terms, the following definitions apply:

"Skillsi" refers to the Skillsi platform, its website, mobile applications, affiliates, subsidiaries, employees, contractors, and authorized representatives.

"Platform" refers collectively to the Skillsi website, mobile applications, software, services, and all related technologies.

"User" refers to any individual or entity that accesses or uses the Platform.

"Learner" refers to any user who enrolls in or purchases courses through Skillsi.

"Tutor" refers to an individual or organization approved by Skillsi to create, publish, and deliver educational content on the Platform.

"Affiliate" refers to an approved user authorized to promote Skillsi courses and earn commissions under the Skillsi Affiliate Program.

"Course" means any educational material published on Skillsi, including videos, presentations, downloadable resources, assessments, quizzes, assignments, live sessions, and other learning materials.

"Content" means all text, images, videos, graphics, audio, documents, software, trademarks, logos, and other materials made available on the Platform.

3. Eligibility

To use Skillsi, you represent and warrant that:

You are at least 18 years of age, or you have obtained the consent of a parent or legal guardian where permitted by applicable law.

You have the legal capacity to enter into binding agreements.

All information you provide during registration is accurate, complete, and up to date.

You will promptly update your account information whenever it changes.

You will comply with all applicable laws and regulations while using the Platform.

Skillsi reserves the right to refuse registration, suspend, or terminate any account that provides false, misleading, or fraudulent information.

4. Account Registration

To access certain features of the Platform, you may be required to create an account.

You agree to:

Provide accurate registration information.

Maintain the confidentiality of your password.

Notify Skillsi immediately if you suspect unauthorized access to your account.

Accept responsibility for all activities carried out under your account.

Users may not create multiple accounts for deceptive, fraudulent, or abusive purposes.

Skillsi reserves the right to request additional verification information where necessary to protect the security of the Platform and its users.

5. User Accounts

Users are responsible for maintaining the security of their accounts.

You must not:

Share your login credentials with another person.

Allow another individual to use your account.

Sell, transfer, rent, or assign your account to another party.

Attempt to gain unauthorized access to another user's account.

Skillsi may suspend or permanently terminate accounts involved in unauthorized access, fraud, impersonation, or activities that compromise the integrity of the Platform.

6. Learner Responsibilities

As a learner, you agree to:

Use the Platform solely for lawful educational purposes.

Respect tutors, fellow learners, and Skillsi staff.

Refrain from posting abusive, offensive, discriminatory, defamatory, or unlawful content.

Avoid sharing copyrighted course materials without authorization.

Complete payments before accessing paid courses unless otherwise stated.

Use certificates honestly and only after successfully meeting the applicable course requirements.

Learners must not record, reproduce, redistribute, resell, or commercially exploit any course content without prior written permission from the copyright owner.

7. Tutor Responsibilities

Tutors play a critical role in maintaining the quality and integrity of the Skillsi learning experience.

All tutors must complete Skillsi's verification process before publishing courses.

Tutors agree to:

Provide accurate personal and professional information during verification.

Upload only original content or content they have the legal right to use.

Maintain professional standards in all interactions with learners.

Deliver accurate and educationally valuable content.

Ensure course descriptions accurately reflect the content being offered.

Respond to learner inquiries within a reasonable timeframe where communication features are available.

Comply with all applicable intellectual property laws.

Skillsi reserves the right to review, approve, reject, suspend, or remove any course that violates these Terms or the Platform's policies.

Approval of a tutor account does not guarantee approval of every course submitted.

8. Affiliate Responsibilities

Approved affiliates may participate in the Skillsi Affiliate Program in accordance with these Terms.

Affiliates agree to:

Promote Skillsi honestly and ethically.

Avoid misleading advertising or false representations.

Use only official promotional materials where applicable.

Comply with all advertising and consumer protection laws.

Avoid spam, deceptive marketing practices, or unauthorized promotional activities.

Skillsi reserves the right to suspend or terminate affiliate accounts that engage in fraudulent, unethical, or misleading promotional activities.

Affiliate commissions may be withheld, adjusted, or cancelled where fraudulent transactions, refunded purchases, or policy violations are identified.

9. Course Approval Process

All courses submitted by tutors are subject to administrative review before publication.

Skillsi may approve, reject, request revisions, or remove any course at its sole discretion where necessary to maintain quality, legal compliance, platform standards, or user safety.

Course approval decisions may consider factors including:

Content quality

Accuracy

Originality

Compliance with applicable laws

Intellectual property rights

Community standards

Technical quality

Submission of a course does not guarantee publication.

10. Intellectual Property

Unless otherwise stated, all intellectual property rights relating to the Platform, including its software, branding, logos, design, graphics, text, databases, and functionality, are owned by Skillsi or its licensors.

Tutors retain ownership of the original educational content they create.

By uploading content to Skillsi, tutors grant Skillsi a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, distribute, market, and make such content available to learners for the purpose of operating and promoting the Platform.

Users may not copy, reproduce, modify, distribute, or commercially exploit Skillsi content without prior written authorization.

Unauthorized use of intellectual property may result in account suspension, legal action, or both.

11. Payments and Payouts

Skillsi facilitates payments for courses, subscriptions, and other eligible services through secure third-party payment providers. By using the Platform, users agree to comply with the terms and conditions of the applicable payment provider.

All course prices displayed on the Platform are determined by the respective tutor unless otherwise specified by Skillsi. Prices may be displayed in different currencies depending on the user's location and are subject to applicable taxes, exchange rates, and processing fees.

Payments for paid courses must be completed successfully before access is granted, unless otherwise stated.

Skillsi reserves the right to delay, reject, or cancel transactions that appear fraudulent, violate these Terms, or pose a security risk.

Payment processing times may vary depending on the payment provider, banking institution, location, or regulatory requirements. Skillsi is not responsible for delays caused by third-party financial institutions or payment processors.

12. Tutor Earnings

Tutors are entitled to receive earnings from eligible course sales in accordance with the revenue-sharing structure established by Skillsi.

Tutor earnings become payable only after:

Successful completion of the student's payment.

Expiration of any applicable refund period.

Completion of fraud and security checks.

Compliance with Skillsi's policies.

Skillsi reserves the right to temporarily withhold payouts where there are suspected fraudulent activities, chargebacks, payment disputes, policy violations, or ongoing investigations.

Tutors are responsible for providing accurate bank account information. Skillsi shall not be responsible for delays or failed transfers resulting from incorrect banking information provided by the tutor.

Tutors are solely responsible for complying with all applicable tax laws and reporting obligations in their country of residence.

13. Affiliate Commissions

Approved affiliates may earn commissions by promoting eligible Skillsi courses using their unique affiliate links.

Affiliate commissions will only be earned when:

A valid referral link is used.

The referred learner successfully completes payment.

The transaction is not cancelled, refunded, or reversed.

The purchase complies with Skillsi's policies.

Commissions may be adjusted, cancelled, or withheld where fraudulent referrals, self-referrals, fake accounts, chargebacks, or policy violations are identified.

Affiliate payouts will be processed according to Skillsi's payout schedule. Skillsi reserves the right to modify payout schedules, minimum withdrawal amounts, or commission structures with reasonable notice.

Affiliates must not engage in misleading advertising, spam, impersonation, false promises, trademark infringement, or any activity intended to manipulate referral tracking or generate fraudulent commissions.

14. Refunds and Chargebacks

Skillsi is committed to providing a fair learning experience for both learners and tutors.

Refund requests may be granted in accordance with the Skillsi Refund Policy. Eligibility for refunds may depend on factors including course access, completion status, technical issues, duplicate payments, or other applicable circumstances.

Where a refund is approved:

The learner's access to the course may be revoked.

The corresponding tutor earnings may be adjusted.

Affiliate commissions related to the refunded purchase may be reversed.

Chargebacks initiated through banks or payment providers may result in temporary suspension of the associated account while the dispute is investigated.

Fraudulent refund requests or chargebacks may result in permanent account suspension and possible legal action.

15. Certificates

Skillsi may issue digital certificates for eligible courses upon successful completion of all applicable course requirements.

Certificates are intended to recognize course completion only and do not constitute academic degrees, government accreditation, professional licenses, or guarantees of employment unless explicitly stated.

Skillsi reserves the right to revoke certificates obtained through fraud, academic dishonesty, identity misrepresentation, or other violations of these Terms.

Learners may not alter, falsify, sell, or misuse certificates issued by Skillsi.

16. Prohibited Conduct

To maintain a safe, professional, and trustworthy learning environment, users must not engage in any activity that violates these Terms or applicable laws.

Prohibited activities include, but are not limited to:

Creating fake or multiple accounts for deceptive purposes.

Impersonating another individual or organization.

Uploading copyrighted content without authorization.

Posting false, misleading, defamatory, abusive, discriminatory, or unlawful content.

Attempting to hack, disrupt, or interfere with the Platform or its services.

Circumventing payment systems or attempting unauthorized access.

Uploading malicious software, viruses, or harmful code.

Engaging in spam, phishing, scams, or fraudulent activities.

Manipulating ratings, reviews, commissions, or platform metrics.

Sharing login credentials or allowing unauthorized access to accounts.

Skillsi reserves the right to investigate and take appropriate action against any user who violates these provisions.

17. Account Suspension and Termination

Skillsi may suspend, restrict, or permanently terminate any account at its sole discretion where necessary to protect the Platform, its users, or its business interests.

Reasons for suspension or termination may include:

Violation of these Terms.

Fraudulent activities.

Misuse of the Platform.

Uploading prohibited or illegal content.

Payment fraud or chargebacks.

Intellectual property infringement.

Security risks.

Repeated complaints supported by evidence.

Where appropriate, Skillsi may provide notice of suspension or an opportunity to resolve the issue. However, immediate suspension may occur where necessary to protect users or comply with legal obligations.

Termination of an account does not release the user from any outstanding legal or financial obligations.

18. Privacy

Skillsi values the privacy and security of its users.

By using the Platform, users consent to the collection, processing, storage, and use of personal information in accordance with the Skillsi Privacy Policy.

Information collected may include account information, payment information, tutor verification documents, communication records, learning progress, device information, and technical usage data.

Skillsi implements reasonable administrative, technical, and organizational safeguards to protect user information. However, no electronic system can guarantee absolute security.

Users are responsible for maintaining the confidentiality of their account credentials and promptly reporting any suspected unauthorized access.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Skillsi, its directors, employees, affiliates, partners, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of the Platform.

Skillsi does not guarantee:

Continuous or uninterrupted availability of the Platform.

That all courses will meet individual expectations.

Employment, certification recognition, or business success resulting from any course.

Error-free operation of the Platform at all times.

Users access and use the Platform at their own discretion and risk.

Where liability cannot be excluded by law, Skillsi's maximum liability shall not exceed the total amount paid by the user to Skillsi for the relevant transaction giving rise to the claim.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Where Skillsi operates in additional jurisdictions, local mandatory consumer protection laws may also apply where required.

Users agree that any legal proceedings relating to these Terms shall be subject to the jurisdiction of the competent courts of Nigeria unless otherwise required by applicable law.

21. Dispute Resolution

Skillsi encourages users to resolve disputes amicably before pursuing legal action.

Users experiencing issues should first contact Skillsi Support to allow reasonable opportunity for investigation and resolution.

Where disputes cannot be resolved through direct communication, the parties may attempt mediation or another mutually agreed alternative dispute resolution process before commencing formal legal proceedings.

Nothing in these Terms limits any legal rights that cannot be waived under applicable law.

For questions regarding these Terms and Conditions or any legal matters relating to the Skillsi Platform, users may contact Skillsi through the official support channels provided on the Platform.

Support requests may be submitted via the official support email, website contact form, or other communication channels made available by Skillsi.

Skillsi will make reasonable efforts to respond to enquiries within an appropriate timeframe. Response times may vary depending on the nature and complexity of the request.

Final Acknowledgement

By creating an account, accessing, or using the Skillsi Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you should discontinue use of the Platform immediately.

Skillsi reserves the right to amend these Terms and Conditions from time to time. Updated versions will be published on the Platform, and continued use of the Platform after such updates constitutes acceptance of the revised Terms.
